03 · CORPORATE COMPLIANCE & GOVERNANCE

Policies written to survive a change of management team.

Compliance architecture, whistleblowing, ethics programs, and board-level review — for management boards and general counsel.

What we believe about compliance

Most compliance programs fail in the same way: the policy is written, the training is delivered, and the program is never tested until an incident.

We design programs that are tested before they are needed. We also write them in the language the regulator uses — because that is the language a judge, a prosecutor, or an auditor will read.

WHAT WE DELIVER

Compliance that has been written down before it is needed.

POLICY ARCHITECTURE

Code of conduct, anti-bribery & corruption, conflicts of interest, sanctions, gifts and hospitality, data protection, whistleblowing, competition, AML, where relevant — a coherent library, not a shelf of PDFs.

ETHICS & TRAINING PROGRAM

A program that is tracked, not performed. Completion rates, attestations, and targeted refresher courses for high-risk roles. The data lives in the risk register.

WHISTLEBLOWING CHANNEL

Compliant with Directive (EU) 2019/1937 — internal reporting, secure intake, case-management protocol, and the reasoning for any third-party provider choice.

BOARD ADVISORY

A quarterly two-page brief, a private line to the partner, and attendance at up to two committee meetings per year. Fixed retainer, billed quarterly.

Governance is the habit of writing things down before you need them.
